1.Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Phlat, operated by Phlat ("we," "us," or "our"), including our website at phlat.ng and all related services (the "Platform"). Phlat is a Nigerian real estate marketplace connecting property buyers, renters, shortlet seekers, and investors with property owners across Nigeria.

By creating an account or using the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2.Eligibility

To use Phlat, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement under Nigerian law.
• Not be prohibited from using the Platform under any applicable law or regulation.

By using the Platform, you represent that all information you provide is accurate, current, and complete.

3.User Accounts

You may register using an email address and password, or link a Google account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Notify us immediately at hello@phlat.ng if you suspect unauthorised access. We are not liable for losses resulting from unauthorised use where you have failed to protect your credentials.

4.Key Definitions

• Property: A property advertisement posted on the Platform.
• Property Owner / Landlord: A user who lists a property for sale, rent, or shortlet on Phlat.
• Property Seeker: A user browsing or enquiring about properties.
• Verified Property: A property that has undergone additional review or identity checks by Phlat.

5.Platform Services

Phlat provides an online marketplace connecting property owners and seekers in Nigeria. Our services include property property creation, search and discovery, in-platform messaging, map-based search, saved properties, and subscription management.

6.User Conduct

You agree not to:

• Post false, misleading, or fraudulent property properties or personal information.
• Harass, threaten, or discriminate against other users.
• Use the Platform for any unlawful purpose under Nigerian law.
• Attempt to circumvent our security, authentication, or payment systems.
• Scrape, copy, or reproduce platform content without our written permission.
• Post content that infringes intellectual property rights, contains malware, or is harmful or offensive.
• Send unsolicited commercial messages or spam to other users.

We reserve the right to remove content and suspend or terminate accounts that violate these rules at our sole discretion.

7.Properties and Property Owners

As a property owner posting on Phlat, you agree to:

• Provide accurate, complete, and up-to-date property information including photos, pricing, location, and property details.
• Comply with all applicable Nigerian laws, including housing regulations and anti-discrimination provisions.
• Respond to genuine enquiries from property seekers in a timely and professional manner.
• Not list properties you do not own or have authority to list.
• Remove properties promptly when a property is no longer available.

8.Property Seekers

As a property seeker using Phlat, you agree to:

• Provide accurate information about yourself when contacting property owners.
• Engage with property owners respectfully and in good faith.
• Conduct your own due diligence before making any payment or entering any agreement with a property owner.

9.Payments and Subscriptions

Certain features of Phlat, including premium properties and subscription plans, require payment. All fees are stated in Nigerian Naira (NGN) and processed via third-party payment providers. By purchasing a subscription, you authorise us to charge the applicable fees.

All fees are non-refundable unless otherwise required by law or expressly stated at the point of purchase. We may change pricing with advance notice. Continued use after a price change constitutes acceptance of the new pricing.

10.Intellectual Property

All rights in the Phlat platform — including its design, software, brand, and editorial content — are owned by or licensed to us. You may not copy, reproduce, modify, distribute, or create derivative works from our platform without express written permission.

You retain ownership of content you upload (photos, property text, etc.) but grant Phlat a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content for the purpose of operating and promoting the Platform. You represent that you have the right to grant this licence and that your content does not infringe any third party's rights.

11.Disputes Between Users

Phlat is not a party to any transaction or agreement between users. Disputes arising from a property transaction, rental arrangement, or user communication must be resolved directly between those users.

Phlat may, at its sole discretion, assist with disputes on the Platform but is not obligated to do so. We reserve the right to suspend or terminate accounts of users engaged in harmful, fraudulent, or abusive behaviour.

12.Disclaimer and Limitation of Liability

THE PHLAT PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, PHLAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOSSES FROM FRAUDULENT PROPERTIES, FAILED TRANSACTIONS, OR THE CONDUCT OF OTHER USERS.

13.Indemnification

You agree to indemnify, defend, and hold harmless Phlat and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

14.Termination

We may suspend or terminate your access to Phlat at any time, with or without notice, if we determine that you have violated these Terms or if required by law. You may also delete your account at any time through your profile settings.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.

15.Modifications

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform at least 7 days before they take effect. Your continued use of Phlat after the effective date constitutes acceptance of the updated Terms.

16.Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved amicably shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023 of Nigeria.
